Where  We  Add  Value

Our experience reflects the legal issues most commonly faced by growing companies and in-house legal teams. Having worked inside scaling businesses, we understand how legal needs evolve as organisations grow and operations become more complex.

We provide practical, senior legal support across the areas where leadership teams most often need clear judgment, commercial awareness, and efficient execution.

COMMERCIAL

Supporting the full lifecycle of commercial relationships - from drafting and negotiating customer and supplier agreements to building scalable contract frameworks as the business grows. We work on terms of business, customer MSAs, partnership agreements, procurement contracts, consultancy agreements and strategic negotiations, always with a focus on enabling deals to move forward efficiently.

DATA PROTECTION

Advising on GDPR and wider data governance, helping businesses manage personal data responsibly without slowing down operations. We have experience with privacy policies, direct marketing, data processing agreements, data privacy questionnaires, supporting product and operational changes involving personal data, and advising on data processing arrangements and risk management more generally.

CORPORATE GOVERNANCE

Helping leadership teams establish governance structures that support growth. This includes advising boards and founders on director duties, shareholder matters, decision-making processes, and corporate housekeeping - ensuring governance evolves alongside the business.

FUNDRAISING & EXIT PREPARATION

Supporting companies through key milestones such as investment rounds and exit preparation. This includes preparing the business for investor diligence, supporting negotiations alongside external advisers, and ensuring legal documentation and corporate structures are investor-ready. We also step in to handle BAU legal work during corporate transactions, freeing up General Counsel to focus on strategic priorities.

PRODUCT ADVISORY

Working closely with product and commercial teams to assess legal considerations as products evolve. This includes identifying potential regulatory implications, reviewing product features and customer terms, and supporting launches or changes so innovation can move forward with confidence.

SAAS, AI & TECHNOLOGY

Experience supporting SaaS and technology businesses, including drafting and negotiating SaaS customer agreements and advising on SaaS-specific legal and commercial issues. We also advise on the legal and regulatory considerations surrounding the use of AI in products and operations.

MANAGING EXTERNAL COUNSEL

Where specialist advice is required, we work with and manage those advisers on your behalf. Like an in-house legal team, we’re not specialists in every area of law, so we triage what can be handled by us and what should be referred out under our supervision. We ensure the right expertise is used where needed - asking the right questions and managing external advisers efficiently, leveraging our trusted network of specialist advisers while keeping legal spend controlled.

LEGAL OPERATIONS AND LEGAL TECH

Our experience in legal tech and legal operations runs deep. Through our work advising Summize, where we contribute to the design and development of next-generation legal technology and AI, we are close to the tools and thinking shaping how legal work gets done in fast-growth businesses. This perspective allows us to support organisations - whether building their first legal function or strengthening an existing one - in designing legal processes, workflows, and technology that make legal work faster, smarter, and better integrated with the business.
